The SEC imposed 19,339,187 baht in civil penalties on Pakorn Mongkoltada for insider trading involving Aqua Corporation. He is barred from executive roles for 14 months. Further actions depend on his consent.
Bangkok, 12 December 2025 – The Securities and Exchange Commission (SEC) has announced the enforcement of civil penalties against Mr. Pakorn Mongkoltada for insider trading involving shares of Aqua Corporation Public Company Limited (AQUA). Mr. Mongkoltada, who was in possession of confidential information, has been ordered to pay civil fines amounting to 19,339,187 baht. Additionally, he is prohibited from holding any position as a director or executive in securities-issuing companies and securities firms for a duration of 14 months.
Following a referral from the Stock Exchange of Thailand (SET) in June 2022 and subsequent investigation by the SEC, findings and evidence revealed the following: Between 2 November 2021 and 25 January 2022, prior to AQUA’s public disclosure of inside information, Mr. Pakorn Mongkoltada, then a director of AQUA, had access to material non-public information. This included (1) the company’s approval to sell ordinary shares of its subsidiary to Plan B Media Public Company Limited (PLANB) and (2) the company’s intention to acquire capital ordinary shares of PLANB. Such information was likely to cause a significant positive impact on AQUA’s share price, exceeding general investor expectations. During this period, Mr. Pakorn used this insider information to purchase AQUA shares before the company disclosed it to the SET on 26 January 2022 at 07:48 hours.
Mr. Pakorn Mongkoltada’s actions constitute an offense of purchasing securities while in possession of or having knowledge of inside information, as outlined in Section 242(1) in conjunction with Section 243(1). These actions are subject to penalties under Section 296 and Section 296/2, as well as civil sanctions under Section 317/4 and Section 317/5 of the Securities and Exchange Act B.E. 2535 (1992).
The Civil Sanction Committee (CSC) has decided to impose civil sanctions on the offender, requiring him to pay a civil penalty, compensation equivalent to the benefit received or expected to be received, and reimbursement of investigative expenses incurred by the SEC, amounting to a total of 19,339,187 baht. Furthermore, he is prohibited from serving as a director or executive in securities issuing companies or securities firms for a duration of 14 months.
The barred period for serving as a director or executive in securities-issuing companies or securities firms will commence once the offender signs a consent letter agreeing to comply with the civil sanctions imposed by the CSC. If the offender refuses to provide consent, the SEC will refer the case in writing to the public prosecutor, who will file a lawsuit in the Civil Court to impose the maximum applicable civil sanctions, which shall not be less than the minimum specified by the CSC.
